Please review these Terms of Service carefully. By accessing or using Ullor you agree to be bound by them.

These Terms of Service (the "Terms") constitute a legally binding agreement between you and Ullor, LLC ("Ullor", "we", "us", or "our") governing your access to and use of the Ullor website, mobile applications, APIs, and related services (collectively, the "Platform"). Ullor operates a peer-to-peer marketplace that enables individuals who own or manage sports and outdoor equipment ("Hosts") to list gear for short-term rental by other registered users ("Renters"). When these Terms refer to "you" or "your," we mean both Hosts and Renters unless the context specifies otherwise.

By creating an Ullor account, listing gear, submitting a reservation request, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any additional policies referenced herein, including our Privacy Policy, Payments & Fees Policy, Community Standards, and any product-specific guidelines we make available. If you do not agree, you must not use the Platform.

1. Description of Ullor Services

  1. Ullor operates a digital marketplace that allows Hosts to publish listings for sports and outdoor gear and enables Renters to discover, request, and pay for short-term rentals of that gear. Ullor does not own, manage, or inspect the items listed on the Platform.
  2. When a Host accepts a reservation request from a Renter, a contract is formed directly between the Host and the Renter. Ullor is not a party to that contract, and we do not guarantee the performance of either party. Hosts are responsible for complying with all obligations owed to Renters, and Renters are responsible for fulfilling the terms agreed with Hosts.
  3. Ullor does not control the conduct of Hosts or Renters. To the fullest extent permitted by law, you agree that Ullor is not responsible for, and disclaims liability arising from, the acts or omissions of any user or third party in connection with the Platform.
  4. Ullor may provide tools that assist with identity verification, messaging, payments, tax estimation, or dispute resolution. Verification checks and profile badges are intended to help build trust, but they are not endorsements or guarantees. Users should exercise their own judgment and take appropriate precautions before completing a rental.
  5. We may remove listings, pause reservations, or cancel transactions if we believe it is necessary to protect users, comply with law, or preserve the integrity of the Platform. Where feasible we will provide reasonable notice, but we may act immediately and without prior notice if circumstances require.
  6. By renting gear through Ullor, Hosts agree to the Host Rules in Section 16 in addition to these Terms. Hosts acknowledge that they enter a direct agreement with the Renter and that Ullor is not responsible for fulfilling the rental on their behalf.
  7. Hosts understand that Renters are independent from Ullor. Hosts bear all risk associated with selecting Renters and permitting them to take possession of gear.
  8. Hosts are solely responsible for ensuring that each listing is accurate, that gear is safe and in good working order, and that local licensing or permitting requirements are met. Ullor does not guarantee payment for damage, loss, or cancellations.
  9. By submitting a reservation request, Renters agree to abide by the Host Rules posted on the relevant listing as well as these Terms. Renters understand that they are contracting directly with the Host and that Ullor does not supervise the rental experience.
  10. Renters acknowledge that Hosts are independent from Ullor, and Ullor is not liable for any injury, loss, or damage caused by the Host or by the gear supplied by the Host.
  11. Renters agree to return gear on time and in the same condition as received, except for ordinary wear and tear. Renters authorize Ullor to process additional charges through Stripe, with appropriate documentation and notice, when both parties confirm that extra amounts are owed under these Terms or applicable policies.

2. Use of the Ullor Platform and Eligibility

  1. You must provide accurate, current, and complete information when creating an Ullor account and keep your profile details updated.
  2. You must be at least 18 years old and capable of entering into legally binding agreements to use the Platform.
  3. You may maintain only one Ullor account unless we expressly authorize otherwise, and you may not transfer your account to another person.
  4. You are responsible for safeguarding your password and for all activity that occurs under your account. Ullor is not responsible for losses arising from unauthorized use of your credentials unless caused by our gross negligence.
  5. You will follow all Host Rules when acting as a Host and all Renter Rules when acting as a Renter.
  6. You will not post, upload, or transmit any content that is unlawful, threatening, defamatory, obscene, harassing, deceptive, or otherwise offensive.
  7. You will not engage in fraud, fee avoidance, or any activity that could cause financial loss or legal liability for Ullor or other users.
  8. You will not upload or distribute malware, exploit vulnerabilities, or otherwise interfere with the operation of the Platform.
  9. You will not reverse engineer, decompile, or attempt to obtain the source code of the Platform.
  10. You will respect intellectual property rights and will not post content you do not own or have permission to use.
  11. You will not use automated scripts or scraping tools to access the Platform without written consent from Ullor.
  12. You will not impose an unreasonable load on our infrastructure or circumvent features that enforce rate limits or access controls.
  13. You will not collect personal information about other users without their consent.
  14. You will not list counterfeit, unsafe, or otherwise prohibited items.
  15. You will not redistribute, display, or otherwise exploit content from the Platform except as necessary to use the Platform in accordance with these Terms.
  16. You will not attempt to bypass or defeat security measures designed to protect the Platform.
  17. You agree to indemnify Ullor for losses, including reasonable legal fees, arising from your breach of these Terms or misuse of the Platform.
  18. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. No other rights are granted.
  19. You may close your account at any time by contacting support@ullor.com. Account closure does not relieve you of obligations incurred prior to closure.

3. Modification of These Terms

Ullor may modify these Terms to reflect changes in our services, legal requirements, or business needs. When we make material updates we will post the revised Terms on the Platform and update the "Last updated" date above. If you continue to use the Platform after the revisions take effect, you accept the updated Terms. If you do not agree, you must stop using the Platform.

4. Content You Submit

  1. You are responsible for all content, data, and communications you submit to or through the Platform ("Your Content"). You must own the rights to Your Content or obtain permission to use it.
  2. By posting Your Content, you grant Ullor a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify, distribute, and display Your Content as necessary to operate, promote, and improve the Platform.
  3. To the fullest extent permitted by law, you waive any moral rights you may have in Your Content.

5. Enforcement and Removal

  1. Ullor may remove listings, reviews, or other content, suspend or terminate accounts, cancel reservations, or otherwise restrict access to the Platform if we believe you have violated these Terms or applicable law.
  2. We may act when we believe your conduct could harm Ullor, other users, or third parties; could expose Ullor to legal liability; or is inconsistent with our Community Standards.
  3. We reserve the right to block access to the Platform, refuse to process payments, or decline to facilitate additional reservations if we detect suspicious activity.

6. Fees, Taxes, and Payments

  1. Host payouts. Ullor retains a platform share equal to ten percent (10%) of the rental subtotal (before taxes and optional add-ons) for each completed reservation. The remaining amount is eligible for payout to the Host once pickup is confirmed, subject to Stripe Connect processing times and compliance reviews.
  2. Renter charges. Renters authorize Ullor to charge the full amount displayed at checkout, which may include the rental subtotal, estimated taxes calculated via Stripe Tax, and any service fees or optional protections shown before you confirm. We will not assess undisclosed fees.
  3. Payment processing. Ullor uses Stripe to process all card payments, verify Hosts through Stripe Connect, and disburse payouts. By using the Platform, you agree to the Stripe Services Agreement and Stripe Connected Account Agreement, as applicable. You must provide accurate and complete information required by Stripe, and you authorize Ullor to share relevant data with Stripe so payments can be processed.
  4. Payout timing. Ullor initiates Stripe transfers to the Host’s connected account after the Host confirms gear pickup in the dashboard. Stripe typically deposits funds within two to five U.S. business days, but timing may vary by bank, country, and compliance review. Ullor may delay or hold payouts if we believe a reservation is fraudulent, a dispute is pending, or further verification is required.
  5. Taxes. Taxes displayed at checkout are estimates produced by Stripe Tax based on the pickup location or billing address. Ullor (or the Host, if applicable law requires) is responsible for remitting collected taxes to the appropriate authorities. Hosts remain responsible for any additional taxes or reporting obligations not covered by Stripe Tax.
  6. Currency. All amounts on Ullor are denominated and processed in U.S. dollars (USD) unless we state otherwise.
  7. Fee changes. We may adjust platform fees, introduce new services, or run promotions. Material changes will be posted on the Platform and, when required, communicated by email before they take effect.
  8. Fee avoidance. Completing or attempting to complete rentals outside Ullor is prohibited. Ullor may assess the applicable platform share on off-platform transactions we can reasonably verify and may suspend or terminate accounts engaged in fee avoidance.

7. Cancellations and Refunds

  1. Renters may cancel a reservation request any time before a Host approves it. No charge is captured while a request is pending.
  2. For confirmed reservations, refunds follow the cancellation policy selected on the listing. Unless a listing states otherwise, the policies operate as follows:
    • Flexible: Cancel at least 24 hours before the scheduled pickup for a full refund. Cancel within 24 hours of pickup but before the start time for a 50% refund.
    • Moderate: Cancel at least 72 hours before pickup for a full refund. Cancel between 24 and 72 hours before pickup for a 50% refund.
    • Strict (Firm): Cancel at least seven (7) days before pickup for a 50% refund. Within seven days the reservation is non-refundable.
  3. Refund percentages apply to the total amount charged, including taxes and service fees. If a reservation is fully refunded, we return all amounts collected; partial refunds return the corresponding share.
  4. Reservations cannot be canceled after the pickup window begins. If you need to adjust dates or resolve an issue after that point, contact the other party through Ullor chat and notify support@ullor.com.
  5. Hosts may cancel a reservation request before approval without penalty. If a Host cancels after confirming a reservation, Ullor issues the Renter a full refund. Repeated Host cancellations may result in account review, lowered search ranking, or suspension.
  6. Ullor may cancel a reservation when we believe doing so is necessary to address fraud, safety concerns, or legal obligations. In such cases we ordinarily provide Renters with a refund and may assist the Renter in finding a replacement reservation.

8. Reviews and Ratings

  1. After a reservation, Hosts and Renters may leave reviews and star ratings for each other and for the gear. Reviews reflect the opinions of the author and not Ullor.
  2. Reviews must be honest, relevant to the reservation, and free of hate speech, harassment, or personal information. Ullor may remove reviews that violate our policies.
  3. You may not manipulate reviews, offer incentives for positive feedback, or coordinate with others to influence ratings.
  4. Reviews may appear on user profiles, listing pages, search results, marketing materials, or other Ullor surfaces.

9. Gear Loss, Damage, and Liability

  1. Nothing in these Terms limits liability for fraud, intentional misconduct, or personal injury or death caused by negligence to the extent such limitations are prohibited by law.
  2. Renters must treat gear with care, use it only for its intended purpose, and return it at or before the agreed drop-off time. Renters are responsible for repair or replacement costs arising from loss, theft, or damage beyond normal wear.
  3. Hosts must provide accurate descriptions of gear condition, include required accessories, and confirm that gear is safe and lawful to rent. Hosts should document gear condition before each rental.
  4. If gear is returned late, damaged, or not returned at all, the Host and Renter should first attempt to resolve the matter using Ullor chat and by documenting the issue. Either party may notify Ullor through the in-app issue reporting form or by emailing support.
  5. Ullor may facilitate additional charges or refunds through Stripe when both parties consent or when required by a documented policy. Ullor is not obligated to mediate every dispute and does not guarantee reimbursement for damage or loss.
  6. Failure to pay agreed amounts may result in suspension of your Ullor account and referral to collections consistent with applicable law.

10. What Ullor Provides

  1. Ullor offers the Platform "as is" and does not provide insurance or protection plans unless we expressly state otherwise. Hosts and Renters are responsible for obtaining any insurance they deem appropriate.
  2. Ullor does not guarantee uninterrupted availability of the Platform and is not liable for delays or failures caused by events beyond our reasonable control, including fires, floods, natural disasters, strikes, government actions, war, terrorism, power outages, network failures, or other force majeure events.
  3. We strive to operate the Platform in compliance with applicable law, to secure user data as described in our Privacy Policy, and to respond to support requests in a reasonable manner.
  4. We are not responsible for indirect, incidental, consequential, exemplary, or punitive damages, including lost profits, lost goodwill, or business interruption, except where prohibited by law.
  5. Some features of the Platform may rely on third-party integrations (such as Stripe, Pusher, Google, Mapbox, and AWS). Ullor is not responsible for outages or errors attributable to those providers.

11. Personal Information and Privacy

  1. By using the Platform you consent to Ullor’s collection, use, and sharing of personal information as described in our Privacy Policy. The Privacy Policy forms part of these Terms.
  2. You agree that Ullor may send you transactional communications (such as reservation updates and security alerts). You may opt out of marketing emails by following the unsubscribe instructions in those communications.
  3. Ullor may use your information to verify identity, perform anti-fraud checks, comply with legal obligations, and enforce these Terms.

12. Third-Party Services

The Platform may link to or integrate with services operated by third parties, including payment processors, mapping providers, analytics tools, or authentication partners. Your use of those services is governed by their terms, conditions, and privacy policies. Ullor is not responsible for the content, availability, or conduct of third-party services, and no third party is intended to have beneficiary rights under these Terms.

13. Disputes and Governing Law

  1. Users agree to resolve disputes with one another in good faith and release Ullor from claims arising out of disputes between Hosts and Renters.
  2. Before pursuing formal action against Ullor, you agree to contact us at support@ullor.com and provide a summary of the issue. We will attempt to resolve the dispute informally.
  3. These Terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the state and federal courts located in San Diego County, California, to resolve any dispute with Ullor that cannot be resolved informally.

14. General Terms

  1. If Ullor does not enforce a provision of these Terms, that does not waive our right to enforce it later.
  2. Ullor may assign or transfer these Terms or any rights or obligations herein to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign your rights or obligations without our prior written consent.
  3. You must comply with all laws, regulations, and third-party agreements that apply to your use of the Platform and to any rentals facilitated by the Platform.
  4. No joint venture, partnership, employment, or agency relationship exists between you and Ullor as a result of these Terms or your use of the Platform.
  5. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

15. Renter Rules

These Renter Rules apply in addition to the rest of the Terms whenever you request or hold a reservation on Ullor.

  1. Communication. Keep all reservation-related communication within Ullor chat. This preserves a record for support and helps prevent fraud.
  2. Reservation requests. Submitting a request does not guarantee availability. A reservation is confirmed only after the Host approves and Ullor captures the payment.
  3. Gear care. Use gear for its intended purpose, follow any instructions the Host provides, and return all items on time and in the condition received.
  4. Issues. Report problems (such as missing items, unsafe equipment, or accidents) promptly through Ullor chat or the in-app issue report so we can help coordinate a resolution.
  5. Reviews. Leave fair, factual reviews that reflect your experience. Do not post defamatory content or disclose someone else's personal information.

16. Host Rules

Hosts agree to the following additional requirements whenever they list gear or manage reservations on Ullor.

  1. Communication. Respond to reservation requests and messages through the Ullor Platform. Requests typically expire if not addressed within 48 hours.
  2. Listing standards. Provide accurate descriptions, pricing, availability, pickup instructions, and photos. Do not list illegal, prohibited, or unsafe items, including firearms, explosives, counterfeit goods, or damaged equipment.
  3. Compliance. Ensure you have the legal right to rent the gear and that doing so complies with local laws, permits, zoning rules, and any applicable insurance requirements.
  4. Payout setup. Complete Stripe Connect onboarding and keep payout details current. Ullor cannot send payouts until Stripe verifies your account.
  5. On-time fulfillment. Have the gear ready at the agreed pickup location and time. Notify the Renter promptly through Ullor if circumstances change.
  6. Off-platform payments. Do not request or accept cash, direct bank transfers, or other off-platform payments. All rental-related charges must flow through Ullor.
  7. Reviews. Provide honest feedback about Renters after each reservation and keep communications professional.
  8. Cancellations. Avoid canceling confirmed reservations. When cancellation is unavoidable, cancel through the Platform so we can automatically refund the Renter. Repeated cancellations may lead to suspension.

17. Disclaimer of Warranties

  1. The Platform and all content, listings, and services provided through it are offered on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
  2. Ullor disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement, to the fullest extent permitted by law.
  3. Your use of the Platform is at your own risk. Ullor is not responsible for damage to your property, data loss, or harm resulting from your access to or use of the Platform.

18. Community Standards & Conduct

Ullor is committed to fostering a respectful community. By using the Platform you agree to:

  1. Treat other users with respect and refrain from harassment, discrimination, or hateful conduct.
  2. Meet in safe, mutually agreed locations and follow reasonable safety practices when exchanging gear.
  3. Use Ullor chat and support channels to report safety concerns, policy violations, or emergencies promptly.
  4. Comply with Ullor's Community Standards, which may be updated from time to time and are incorporated by reference into these Terms.
